End-User License Agreement (EULA) of Sheep Tag 2

This End-User License Agreement ("EULA") is a legal agreement between you and Luna Wolf Studios LLC.

This EULA agreement governs your acquisition and use of our Sheep Tag 2 software ("Software") directly from Luna Wolf Studios LLC or indirectly through a Luna Wolf Studios LLC authorized reseller or distributor (a "Reseller").

Please read this EULA agreement carefully before completing the installation process and using the Sheep Tag 2 software. It provides a license to use the Sheep Tag 2 software and contains warranty information and liability disclaimers.

If you register for a free trial of the Sheep Tag 2 software, this EULA agreement will also govern that trial. By clicking "accept" or installing and/or using the Sheep Tag 2 software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement.

If you are entering into this EULA agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity and its affiliates to these terms and conditions. If you do not have such authority or if you do not agree with the terms and conditions of this EULA agreement, do not install or use the Software, and you must not accept this EULA agreement.

This EULA agreement shall apply only to the Software supplied by Luna Wolf Studios LLC herewith regardless of whether other software is referred to or described herein. The terms also apply to any Luna Wolf Studios LLC updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Luna Wolf Studios LLC hereby grants you a personal, non-transferable, non-exclusive license to use the Sheep Tag 2 software on your devices in accordance with the terms of this EULA agreement.

You are permitted to load the Sheep Tag 2 software (for example a PC, laptop, mobile or tablet) under your control. You are responsible for ensuring your device meets the minimum requirements of the Sheep Tag 2 software.

You are not permitted to:

Online Services, Accounts and Third-Party Services

The Sheep Tag 2 software includes online multiplayer features. Access to these features requires an internet connection and may require you to register for and maintain a player account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

The Software relies on third-party services to provide its online functionality, including Microsoft PlayFab (player accounts, authentication and backend data storage), Microsoft Azure (backend services and data storage), Photon (Exit Games GmbH) (real-time multiplayer networking) and Steam (Valve Corporation) (distribution, sign-in and purchases). Your use of these online features is also subject to the terms and privacy policies of those providers. Luna Wolf Studios LLC may add, modify, suspend or discontinue online features, services or third-party integrations at any time.

You must be at least 13 years of age, or the minimum age required in your country if higher, to create an account or use the online features.

Account Ownership

All accounts are owned by Luna Wolf Studios LLC. Your account is licensed to you, not sold. Luna Wolf Studios LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and use your account for your own personal, non-commercial play, subject to this EULA agreement. You have no ownership or other property interest in your account, your account data or your progress.

Your account is personal to you. You may not sell, transfer, share, lend, rent, bequeath or give your account to anyone else, you may not acquire or use an account that belongs to another person, and your account does not pass to your heirs or estate, except to the extent that mandatory law in your jurisdiction provides otherwise. Luna Wolf Studios LLC may refuse, reclaim, rename, reset or delete any account at its sole discretion.

Virtual Goods and Purchases

The Software may offer virtual currency and virtual items, such as cosmetics ("Virtual Goods"). Virtual Goods are licensed to you, not sold, for use within the Software only. Virtual Goods have no monetary value, are not your property, cannot be redeemed for money or anything of value outside the Software, and may not be transferred, traded or sold.

Luna Wolf Studios LLC may modify, re-price, limit, replace or remove any Virtual Goods at any time without liability to you. All purchases are final and non-refundable, except where applicable law or the refund policy of the platform through which you purchased (such as Steam) requires otherwise. Reversing or disputing a completed payment without cause is a breach of this EULA agreement.

If your account is suspended or terminated for any reason, or the online services are discontinued, you forfeit all Virtual Goods, virtual currency and progress on that account without refund or compensation.

Code of Conduct

When using the Software and its online features you agree not to:

Enforcement, Suspension and Bans

Luna Wolf Studios LLC may, in its sole discretion and with or without prior notice, warn you, restrict or remove features of your account (including chat), reset progress, or suspend or permanently terminate your account for any breach of this EULA agreement, for conduct that Luna Wolf Studios LLC considers harmful to other players, the Software or Luna Wolf Studios LLC, or for any other reason permitted by applicable law.

No refund, credit or compensation is owed for any loss of access, Virtual Goods, virtual currency, progress or play time resulting from such action, regardless of any amounts you have paid. Luna Wolf Studios LLC is under no obligation to provide an appeal and its decision is final.

Chat and Online Interactions

Online interactions, including player chat, player names and user-generated content, are not rated by the ESRB, PEGI or any other rating body, and the experience may differ from the rating assigned to the Software. Player chat and online conduct are not reviewed before they reach you, and you may encounter language or behavior that you find objectionable.

You are solely responsible for your own interactions with other players. You may report misconduct to Luna Wolf Studios LLC, and Luna Wolf Studios LLC may act on reports as described above, but it has no obligation to monitor chat or to take any particular action.

Service Availability and Discontinuation

The online features are provided on an "as available" basis. Luna Wolf Studios LLC does not guarantee that the online features, or any account, Virtual Goods or progress, will be available for any particular period or at all.

Luna Wolf Studios LLC may modify, suspend or discontinue the Software, any online feature, or support for the Software, in whole or in part, temporarily or permanently, at any time, with or without notice and without liability to you. If the online services are discontinued, your account, Virtual Goods and progress will cease to be available, and no refund or compensation is owed.

Intellectual Property and Ownership

Luna Wolf Studios LLC shall at all times retain ownership of the Software as originally downloaded by you and all subsequent downloads of the Software by you. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Luna Wolf Studios LLC.

Luna Wolf Studios LLC reserves the right to grant licenses to use the Software to third parties.

User-Generated Content (Custom Terrains)

The Software allows you to create custom content, such as terrains, and to share it with the community (for example, through the Sheep Tag 2 Content Library). You retain ownership of the original content that you create.

By submitting or sharing a terrain through the Sheep Tag 2 Content Library, you represent that it is your own original work, and you agree to license it to the public under the Creative Commons Attribution 4.0 International (CC BY 4.0) license. You also grant Luna Wolf Studios LLC a worldwide, royalty-free, non-exclusive right to host, reproduce, distribute, display and otherwise make the content available as part of the Software and its content library. You are solely responsible for the content you create and share, and you must not submit content that infringes the rights of any third party or violates any applicable law.

Please note that sharing a creation publicly is, as a practical matter, permanent. If you ask us to remove a terrain you have shared, Luna Wolf Studios LLC will make a good-faith effort to remove it from the Content Library and the website, but the CC BY 4.0 license is irrevocable and copies already downloaded by other users will remain on their devices. Your Privacy

Your use of the Software is also governed by our Privacy Policy, which describes the information we collect (including account and gameplay data) and how it is used and shared, including through the third-party services described above. Please review the Privacy Policy to understand our practices.

Termination

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. You may terminate it at any time upon written notice to Luna Wolf Studios LLC.

It will also terminate immediately if you fail to comply with any term of this EULA agreement, and Luna Wolf Studios LLC may terminate it, or suspend or terminate your account, at any time as described under Enforcement, Suspension and Bans. Upon any termination, the licenses granted by this EULA agreement will immediately terminate, your account and any Virtual Goods will be forfeited, and you agree to stop all access and use of the Software. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Disclaimer of Warranties

THE SOFTWARE AND ITS ONLINE FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT. Luna Wolf Studios LLC DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE OR SECURE, OR THAT ANY DATA, ACCOUNT, VIRTUAL GOODS OR PROGRESS WILL BE PRESERVED.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Luna Wolf Studios LLC AND ITS OWNERS, EMPLOYEES, CONTRACTORS AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, ACCOUNTS, VIRTUAL GOODS, PROGRESS, PROFITS OR GOODWILL, ARISING OUT OF OR RELATING TO THE SOFTWARE OR THIS EULA AGREEMENT, HOWEVER CAUSED. THE TOTAL LIABILITY OF Luna Wolf Studios LLC FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO Luna Wolf Studios LLC FOR THE SOFTWARE AND VIRTUAL GOODS IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE, OR TEN US DOLLARS (USD $10), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITATIONS, SO THEY MAY NOT APPLY TO YOU.

Changes to this EULA

Luna Wolf Studios LLC may revise this EULA agreement at any time by posting the revised terms at sheeptag2.com. Your continued use of the Software after revised terms are posted constitutes your acceptance of them. If you do not agree to a revision, you must stop using the Software.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws rules. You agree that the state and federal courts located in Delaware have exclusive jurisdiction over any such dispute, except that Luna Wolf Studios LLC may seek injunctive relief in any court of competent jurisdiction.

Mandatory Consumer Rights

Nothing in this EULA agreement limits any rights you have under the mandatory consumer protection laws of the country or state in which you reside that cannot be excluded or limited by agreement. Where such a law grants you a right that conflicts with a term of this EULA agreement, that term applies to you only to the extent permitted by that law.

Severability

If any provision of this EULA agreement is held to be unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision shall be enforced to the maximum extent permitted by law.
